Agreement to Terms

By downloading, installing, or using CanopyOS (the “App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

Beta Program

CanopyOS is currently in Beta testing. By using the App during the beta period, you acknowledge and agree that:

  • The App is provided “as is” for testing and evaluation purposes
  • Features are not final and may change significantly before the official release
  • Bugs and issues are expected — please report them to help us improve
  • Data may be reset between beta versions; do not rely on the App as your sole record-keeping system
  • No guaranteed uptime or support — we will do our best but cannot guarantee availability
  • Feedback may be used to improve the App without compensation
  • Beta access may be revoked at any time at our discretion

The beta period will end when we announce the official public release of CanopyOS.

Description of Service

CanopyOS is a personal intention-setting and energy-tracking application designed to help users:

  • Set and track overarching intentions (“Canopies”)
  • Create daily intentions aligned with their Canopy
  • Log energy levels and reflections
  • Optionally integrate with calendar and health services

User Responsibilities

Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the App in any way that violates applicable laws or regulations
  • Attempt to interfere with or disrupt the App's functionality
  • Reverse engineer, decompile, or disassemble the App
  • Use the App to transmit harmful code or malware

Account and Data

You are responsible for:

  • Maintaining the security of your device
  • All content you enter into the App
  • Backing up your data as needed

Intellectual Property

Our Rights

The App, including its design, features, graphics, and content, is owned by CanopyOS and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App without our express written permission.

Your Content

You retain ownership of the content you create within the App (intentions, reflections, energy logs). By using the App, you grant us a limited license to store and display your content solely for the purpose of providing the App's services to you.

Third-Party Services

Integrations

The App may integrate with third-party services including:

  • Google Calendar (via Google Sign-In)
  • Apple Calendar (via EventKit)
  • Apple Health (via HealthKit)

Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

We are not responsible for the content, privacy practices, or functionality of third-party services.

Disclaimers

“As Is” Basis

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Health or Professional Advice

The App is designed for personal organization and self-reflection. It does not provide:

  • Medical or health advice
  • Mental health treatment or therapy
  • Professional coaching or counseling

If you are experiencing mental health issues, please consult a qualified healthcare professional.

Data Loss

We are not responsible for any loss of data stored on your device. We recommend regularly backing up your device.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANOPYOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the App
  • Any unauthorized access to or use of your data
  • Any interruption or cessation of the App's functionality
  • Any bugs, viruses, or other harmful code transmitted through the App

Indemnification

You agree to indemnify and hold harmless CanopyOS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the App or violation of these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or on our website. Your continued use of the App after changes constitutes acceptance of the modified Terms.

Termination

We may terminate or suspend your access to the App at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or us.

You may stop using the App at any time by uninstalling it from your device.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CanopyOS regarding the App and supersede all prior agreements and understandings.
